GLOBAL PAYMASTER TERMS & SETTLEMENT SERVICES AGREEMENT

These Global Paymaster Terms & Settlement Services Agreement (“Terms” or “Agreement”) govern the use of this Website and the services provided by Christian A. Romero (“Christian A. Romero,” “Global Paymaster,” “we,” “our,” or “us”).

By accessing the Website, engaging services, or transmitting funds to accounts administered by Christian A. Romero, you (“Client,” “User,” or “you”) agree to comply with and be bound by these Terms.

If you do not agree with these Terms, please discontinue use of the Website and services.


1. Acceptance of Terms

By accessing the Website or engaging services provided by Christian A. Romero, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any additional agreements governing specific transactions.


2. Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to use this Website or engage services.

By using the Website or engaging services, you represent that you meet these eligibility requirements.


3. Professional Services

Christian A. Romero provides professional services including but not limited to:

• consulting services
• psychology-based strategic consulting
• business advisory services
• settlement administration services
• global paymaster services and financial coordination

Following onboarding and receipt of retainer funds, an outline of services may be sent to the client’s email documenting the agreed-upon scope of services.

Consulting Fees

Christian A. Romero’s consulting fee is $3,500 per hour, billed in 15-minute increments during regular business hours:

Monday – Friday
9:00 AM – 5:00 PM PST (Los Angeles time zone)

Additional charges:

• 50% surcharge for weekday consultations outside normal hours
• 100% surcharge for services performed on Saturdays and Sundays


3A. Paymaster Services and Administrative Fees

In connection with certain transactions, Christian A. Romero may act as Global Paymaster or settlement administrator responsible for the receipt, compliance coordination, and distribution of funds.

Services may include:

• receipt of transaction proceeds
• coordination with financial institutions
• verification of cleared funds
• settlement administration
• distribution of proceeds


3B. Paymaster Fee Notice

Where funds are transmitted to Capital One, N.A. accounts designated for settlement administration by Christian A. Romero, a Paymaster administrative fee equal to two point nine percent (2.9%) of the total funds received, or Two Hundred Fifty Thousand United States Dollars (USD $250,000), whichever is greater, shall apply.

This fee shall:

• be deemed earned upon receipt of cleared funds
• be automatically deducted from incoming funds
• apply prior to the distribution of any proceeds

Clients acknowledge that the Paymaster administrative fee is a settlement administration fee and is separate from consulting or advisory fees.


3C. Client Responsibility for Fees

By transmitting funds to settlement accounts administered by Christian A. Romero, the client agrees that:

• the 2.9% Paymaster administrative fee applies
• the fee may be deducted directly from incoming funds
• the fee has priority over any commissions or distributions

Once assessed and deducted, such fees are final and non-refundable, except where required by applicable law.


3D. Settlement Authorization

Clients authorize Christian A. Romero, acting as Paymaster, to:

• receive transaction proceeds
• coordinate compliance verification
• deduct administrative fees
• execute settlement instructions
• distribute funds in accordance with applicable agreements

Such settlement authority becomes irrevocable upon confirmation of cleared funds.


3E. Non-Disparagement and Non-Interference

Clients agree not to make false, defamatory, or disparaging statements concerning Christian A. Romero or his affiliates.

Clients further agree not to interfere with banking relationships, settlement administration, or financial institutions associated with services provided under these Terms.

Any attempt to disrupt settlement administration or banking operations constitutes a material breach of these Terms.


3F. No Fiduciary Relationship

Christian A. Romero provides services in a consulting and administrative capacity only.

Nothing in these Terms creates a:

• fiduciary relationship
• investment advisory relationship
• brokerage relationship
• partnership or joint venture

Clients remain solely responsible for their financial decisions and investments.


3G. Client Cooperation and Compliance

Clients agree to cooperate with all reasonable compliance and due diligence procedures, including KYC and AML verification.

Clients may be required to provide documentation including:

• government identification
• corporate documentation
• beneficial ownership information
• source-of-funds verification

Failure to provide required documentation may result in delays, suspension, or termination of services.


3H. Protection of Banking Relationships

Clients acknowledge that the banking relationships maintained by Christian A. Romero are essential to the provision of settlement services.

Clients shall not engage in conduct intended to disrupt or interfere with banking institutions associated with Christian A. Romero.

Attempts to interfere with banking relationships shall constitute a material breach of these Terms.


3I. Transaction Acceptance and Refusal Rights

Christian A. Romero reserves the right, at his sole discretion, to:

• accept or decline transactions
• suspend or terminate engagements
• refuse services where compliance concerns arise

Transactions may be declined due to:

• regulatory considerations
• compliance risks
• insufficient documentation
• banking restrictions
• reputational risk


3J. Force Majeure and Banking Interruptions

Christian A. Romero shall not be liable for delays or disruptions caused by events beyond his control, including:

• banking system failures
• regulatory actions
• sanctions or compliance reviews
• cyber incidents or network outages
• payment rail interruptions
• natural disasters or civil unrest

Banks and financial institutions operate independently, and Christian A. Romero cannot control their internal compliance decisions.


4. Risk Disclosure

All financial transactions involve risk.

Funds placed with Christian A. Romero in connection with settlement administration or financial coordination may incur losses, including the potential loss of principal.

Past performance does not guarantee future results.

For transparency and compliance purposes, all conversations with Christian A. Romero may be recorded.


5. Intellectual Property

All Website content including text, graphics, logos, images, and software is the property of Christian A. Romero and protected by intellectual property laws.

Unauthorized reproduction is prohibited.


6. Third-Party Services

The Website may contain links to third-party websites.

Christian A. Romero is not responsible for third-party content or services.


7. Disclaimer of Warranties

The Website and services are provided “as is” and “as available.”

No warranties are made regarding:

• uninterrupted service
• accuracy of information
• correction of defects

All warranties are disclaimed to the fullest extent permitted by law.


8. Limitation of Liability

Christian A. Romero shall not be liable for damages arising from use of the Website or services, including:

Services may be suspended or terminated if these Terms are violated.

Continued use of the Website constitutes acceptance of updated Terms.


12. Governing Law

These Terms are governed by the laws of the State of California.

Disputes shall be resolved in courts located in Sacramento County, California.
